Possible EGM

At least one other thread on here refers to the need for the club to hold an EGM so that the directors can account to shareholders (big and small) for their recent actions and future plans.

Just so people are aware on here , particularly those that haven`t yet joined the Trust (whose members get regular updates), the Trust has already written to the club last week asking them to call an AGM themselves within a 7 day period (which expires later this week). If they don`t call a meeting themselves then we have advised of our intention to have an EGM called.

To call an EGM will need the support of 5% of the voting shareholders , which is just over 2m shares (we have several pledges of support already). A request from this 5% places the directors under a legal obligation to call an EGM within 21 days , and the meeting itself has to be held within 28 days after that. That is as speedy as company law allows.

Out of interest - I always thought the level was 10% of shares were needed. Has this level now been reduced to just 5%? (This is off-topic, just me being curious that's all :))

I think it's 10%, unless there hasn't been an AGM in x years - can't quite remember how many it needs to be!

One reason was that there has not been an AGM for over a year now but apparently company law has recently changed to protect the smaller shareholders and 5% is now the legal requirement.

Just a suggestion but Sam Hammam owns 4.5% of the club's shares. Couldn't you ask Annis to give him a call and seek his support for an EGM as his shareholding would almost cover the amount required?

The Trust will ask everyone for support , but that one might be politically a little difficult due to the links between Rudgwick/Sam/Langston bearing in mind the recently renegotiated Langston settlement agreement.
