Whats the diffrence between AGM/EGM and

riddler sitting us all down at the muni/brunswick etc and chatting his same old crap? is it just OFFICAL chatting crap done in a nice tidy room in the club?

If anyone could explain that would be great :cry:

Not quite sure but I know one is an Annual General Meeting and the other is an Extraordinary General Meeting

An AGM is a now voluntary meeting that the boardmembers / shareholders etc go, normally they release the accounts etc and can vote on things like boardmembers

EGM is normally for something pretty serious that can't wait for an AGM, or when the shareholders ( like in our case ) want the board to call a meeting, normally if the shareholders lose confidence in the running of the company or the board

always thought a EGM was an Extraordinary General Meeting

always thought a EGM was an Extraordinary General Meeting



It is , but it is now defined as any shareholders` meeting which isn`t an Annual General Meeting. But the purpose is as Owain states.

An Annual General Meeting is meeting held once a year where shareholders can vote on various matters affecting the company or organisation. It is normal practice at an AGM for there to be a report of the chairman and a financial report usually verified by the company/organsiations auditors. It also gives sharehoders an opportunity to question or even in some case pass a vote of no confidence in the Chief Executive, Chairman or any company/organsisation executive. In some organisations the entire executive is up for election at every AGM or it might be time dependent ie. they serve for 3 years and either step down or stand for relection in some form of ballot or show of hands.

An Extraordinary General Meeting is far from normal practice and is usually called when the there are problems with with the day to day running of a company/organsiation. For example if at the AGM a projected forecast was made but in reality the forecast was way off the mark causing the company/organisation trading problems or just downgrading the dividend payment. It might be expected that shareholders would demand an EGM to get answers and if there was enough support from the shareholders to pass a vote of no confidence in the Chief Executive, Chairman or any company/organsisation executive and get them replaced.

In organsiations covered by a Constitution or Rules of Memorandum, an EGM could be called to make an ammendment which would save the organisation having to wait to make changes until the next AGM.
